Caribou Health Technologies Inc. ("Caribou") HHAeXchange Promotion

Terms & Conditions

Please read the following Terms & Conditions carefully before participating in Caribou's HHAeXchange promotion ("Promotion"). By participating in the Promotion, you agree to be bound by these Terms & Conditions.

1. Promotion Eligibility: The Promotion is open to new HHAeXchange customers (“New HHAeXchange Customers”) located in New Jersey, New York, Pennsylvania, North Carolina, Florida, Illinois, and Minnesota, subject to the following eligibility requirements:
1. Provide billing information: To participate in the Promotion, customers must provide valid billing information during registration (payment can be made via credit card, wire or ACH transfer).
2. Sign Caribou's Software as a Service Agreement: Customers must sign and agree to Caribou's Software as a Service Agreement, which governs the use of Caribou's technology and supporting services, in addition to these Promotion Terms & Conditions.

2. Promotion Period: The Promotion is available to New HHAeXchange Customers who sign up between [May 22, 2023 and June 30, 2023] ("Promotion Period").
3. Promotion Duration: The Promotion shall commence on the Effective Date specified in the Software as a Service Agreement and shall remain in effect for a period of three (3) calendar months ("Promotion Duration"), unless earlier terminated in accordance with the terms of this Promotion.
4. Scope of Features and Services: During the Promotion Duration, New HHAeXchange Customers will have access to the following features and services:
   1. Staff Referrals Feature: Use of Caribou's staff referrals feature to systematically manage and track staff referrals within their home care agency.
   2. Integration with HHAeXchange: Caribou will automatically sync with HHAeXchange to manage users and track staff referral payments, analyze baseline data, and streamline the referral process.
   3. Onboarding and training users: Caribou will provide onboarding and training materials for users to ensure smooth uptake of the technology.
   4. Support: Caribou will offer ongoing support throughout the Promotion Duration.
5. Scope of the Promotion: New HHAeXchange Customers will receive free use of Caribou's Features and Services to launch a best-in-class staff referrals program during the Promotion Duration. The New HHAeXchange Customer will be responsible for paying referral bonuses to staff, facilitated by a process designed by Caribou. 100% of funds sent by the New HHAeXchange Customer will be allocated to their staff. If this agreement is terminated for any reason, any unspent funds will be returned to the New HHAeXchange Customer.
6. Termination or Modification: Caribou reserves the right to modify, suspend, or terminate the Promotion at any time, for any reason, and without prior notice. In case of any changes to the Promotion, Caribou will notify New HHAeXchange Customers via email or through other appropriate means of communication.
7. Billing and Payment Information: The New HHAeXchange Customer must provide valid billing and payment information to Caribou to participate in the Promotion. Upon completion of the Promotion Duration, the New HHAeXchange Customer will be automatically billed in accordance with the pre-agreed pricing in the Software as a Service Agreement. If the New HHAeXchange Customer wishes to cancel the service and avoid being charged, they must notify Caribou of their intent to cancel before the end of the Promotion Duration.
8. Data Usage and Privacy: By participating in the Promotion, you agree to Caribou's collection, use, and storage of your data in accordance with Caribou's Privacy Policy. Please review Caribou's Privacy Policy for more information on how your data is handled.

By participating in the Promotion, you acknowledge that you have read and understood these Terms & Conditions and agree to be bound by them. If you do not agree with these Terms & Conditions, please do not participate in the Promotion.
